Terms and Conditions:

Abacipharm Corp("Seller") will supply the chemical ("Product") or service required by the buyer ("Buyer") subject to the terms and conditions below. The placing of a purchase order implies acceptance of these terms and conditions. 

Prices and Payment Terms
All prices are in U.S. Dollars and FOB Columbia, Maryland, USA. Prices are subject to change without notice. We reserve the right, without prior notice, to discontinue products, or change specifications and prices on products. Freight and insurance are prepaid and added to the invoice. Terms of sales are net 30 days of date of invoice. Written quotations are guaranteed for 30 days. Accounts 30 days past due are subject to a 1.5% late charge per month on the unpaid balance. We reserve the right to request advance payment in certain cases. The buyer is responsible for bank charges for all overseas transactions.

Taxes and Other Charges
Buyer will be responsible for payment of all taxes, duties, excise, custom, inspection and testing fees and any other charge imposed by government authority.
Shipping
In most cases, orders are shipped via FedEx, DHL door-to-door delivery service.
Hazardous Chemicals
Many chemicals are hazardous. All of products should be handled only by qualified individuals trained in laboratory procedures and familiar with the potential hazards of the chemicals. All the compounds are intended for laboratory research purposes, and NOT for drug, household or other use. Buyer is also responsible for the safe disposal of all such compounds in accordance with current legislation.
Limitation of Liability
In no event shall Seller be liable for indirect, incidental, special, or consequential damages, or damages of any kind incurred by the buyer or any third party, resulting from any use or misuse or failure of the products, even if the seller or any other person has been advised of the possibility of such damage, including, without limitation, liability for loss of use, loss of work, loss of work in progress, loss or revenue or profit, any liability of buyer to a third party, or any other damage or loss occasioned by such product including personal injury or property damage, unless such personal injury or property damage is caused by seller's gross negligence. In no event shall Seller's liability for damages hereunder exceed the amount paid by the buyer for the product giving rise to the liability.
Warranty and Returns
Seller warrants materials to be of the stated quality at the time of sale. This warranty is exclusive, and seller makes no other warranty, express or implied, including any implied warranty of merchantability or fitness for any particular purpose. The Buyer must inspect goods immediately on receipt and inform the Seller of any shortage or damage within seven (7) days. Quality problems must be notified within thirty (30) days of receipt. Return shipment will not be accepted without permission.
Claims for Shortages or Damage in Shipment:
All claims concerning a delivery must be made by the buyer within 48 hours after customer receives that delivery. The carrier that delivers the product to the buyer is responsible for any and all shortage and damage while in transit. If the buyer receive a damaged product or experience shortage, buyer should make a claim according to the following procedure:
1. Shortage: Re-inspect shipping container and packing materials carefully before disposing of them. Check to be sure that missing items were not removed prior to complete unpacking. If there is a shortage, notify the carrier immediately.
2. Damage: Contact local office of the delivering carrier immediately and request that carrier's inspector examine damage product(s) and issue inspection report. Shipping container and packing material must be retained until inspected.
After inspection, forward the inspection report and the damaged product(s) prepaid to 1Chem Limited. 1Chem Limited will handle the paperwork to file of a claim.
3. Return of Merchandise
Return Authorization letter must be enclosed with the product(s) as it contains your account and invoice number. All returns must be sent Freight Prepaid to only the location indicated on the Return Authorization.

Product Information
Seller reserves the right to discontinue products or change specifications of our products and to correct any errors, inaccuracies or omissions at any time without prior notice.
Patents
Products protected by valid patents are not offered for sale in countries where the sale of such products constitutes a patent infringement and its liability is at buyer's risk. Products currently covered by valid US Patents are offered for R&D use in accordance with 35 USC. Some products may be covered by application or process patents. The customer must be responsible for determining the existence of such patents.
